1. Definitions

1.1 AeronPay: Refers to (AeronPay) AeronFly International Private Limited, a company registered under Indian laws providing digital financial and payment solutions.

1.2 User: Refers to individuals or entities who register on or use the AeronPay platform.

1.3 Services: Refers to the offerings provided by AeronPay, including Recharge and Bill Payments, Gift Cards, Digital Gold, Prepaid Cards, QR Collection, and other future services.

1.4 Platform:Refers to the AeronPay website, mobile applications, and associated digital services.

1.5 Account: Refers to a user’s account created on the AeronPay platform to access services.

1.6 Digital Gold: Refers to digital purchases, holdings, and sales of gold through the AeronPay platform.

1.7 Prepaid Card: A prepaid card issued by AeronPay's financial partners.

2. Acceptance of Terms

2.1 Agreement: By using AeronPay, you agree to comply with these Terms and Conditions and any amendments made from time to time.

2.2 Modification of Terms:AeronPay reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted on our platform, and continued use of our services signifies your acceptance of the revised terms.

2.3 Eligibility:You must be at least 18 years of age and possess the legal capacity to enter into binding contracts under the Indian Contract Act, 1872.

3. Account Registration and Security

3.1 Account Creation:To access our services, users must create an account by providing accurate and current information. Any false or incomplete information may result in the suspension or termination of the account.

3.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities that occur under your account.

3.3 Account Verification:AeronPay may require additional documentation or information for identity verification as per KYC (Know Your Customer) regulations.

4. KYC and Regulatory Compliance

4.1 KYC Requirement: Users must complete KYC verification for certain services, including Digital Gold and Prepaid Cards, in accordance with RBI (Reserve Bank of India) guidelines.

4.2 Failure to Comply:AeronPay reserves the right to deny or suspend services if the user fails to comply with KYC or any other regulatory requirements.

5. Services Offered

5.1 Recharge and Bill Payments

5.1.1 Scope:AeronPay enables users to recharge mobile phones, pay DTH bills, and settle utility bills like electricity, water, and gas.

5.1.2 Service Provider Responsibility:AeronPay is an intermediary, and the actual service delivery is the responsibility of the respective service provider.

5.1.3 Refunds and Disputes:If a transaction fails but funds are debited, AeronPay will process refunds according to the service provider’s policies. Refunds may take 5-7 business days.

5.2 Gift Cards

5.2.1 Gift Card Purchase:AeronPay offers various gift cards that can be redeemed at participating retailers. The terms of use for each gift card are governed by the issuing retailer.

5.2.2 Non-refundable:Once purchased, gift cards are non-refundable and cannot be canceled.

5.2.3 Lost or Stolen Gift Cards:AeronPay is not responsible for any lost or stolen gift cards once delivered.

5.3 Digital Gold

5.3.1 Buying and Selling Gold:AeronPay allows users to buy, sell, and hold digital gold. All gold purchased through the platform is stored in secure, insured vaults by our partners.

5.3.2 Market Risk:The value of gold is subject to market fluctuations, and AeronPay is not liable for losses incurred due to price changes.

5.3.3 KYC Requirement: Users must complete KYC verification to use the Digital Gold service, and failure to do so may result in suspension of the service.

5.4 Prepaid Cards

5.4.1 Issuance:AeronPay offers prepaid cards in partnership with financial institutions. These cards can be used for online and offline transactions.

5.4.2 RBI Guidelines:All prepaid card transactions are subject to RBI guidelines on Prepaid Payment Instruments (PPIs).

5.4.3 Fees and Charges:Fees related to the card, such as issuance, maintenance, and transaction fees, will be disclosed during the application process.

5.5 QR Collection

5.5.1 Merchant Services:AeronPay provides merchants with QR code-based payment collection services.

5.5.2 Regulatory Compliance:Merchants using QR Collection must adhere to RBI guidelines and other applicable regulations.

5.5.3 Dispute Resolution:AeronPay is not responsible for any disputes between merchants and customers regarding payments, refunds, or the quality of goods and services.

6. Payment and Fees

6.1 Currency:All payments on the platform are to be made in Indian Rupees (INR).

6.2 Transaction Fees: AeronPay reserves the right to charge fees for certain services. These fees will be disclosed at the time of transaction and are non-refundable.

6.3 Taxes:Users are responsible for all applicable taxes, including GST, which may apply to the services they use.

6.4 Third-Party Fees:Transactions processed through third-party gateways may incur additional fees. AeronPay is not responsible for these charges.

7. Refund Policy

7.1 Recharge and Bill Payments: Refunds for failed transactions will be processed in line with the service provider's policies.

7.2 Gift Cards: Gift cards are non-refundable once purchased, except in cases where the card is defective or not redeemable.

7.3 Digital Gold: No refunds are applicable. Users may sell their gold back at prevailing market prices.

7.4 Prepaid Cards:Any refunds for unused balances will be handled according to the card issuer’s policies.

8. Privacy Policy

8.1 Personal Information: By using AeronPay, you consent to the collection and processing of personal data as outlined in our Privacy Policy.

8.2 Data Security: AeronPay employs industry-standard security measures to protect user data, but we cannot guarantee complete protection from unauthorized access.

8.3 Data Sharing: We may share your data with regulatory authorities or third-party service providers as required by law.

9. User Responsibilities

9.1 Legal Use: You agree to use AeronPay’s services only for lawful purposes and in compliance with all applicable laws, including RBI regulations and the Information Technology Act, 2000.

9.2 Prohibited Activities: Users may not engage in any activity that is harmful, fraudulent, or in violation of Indian law.

9.3 Account Responsibility:You are solely responsible for any activity that occurs under your account and for ensuring that all data you provide is accurate and up-to-date.

10. Intellectual Property Rights

10.1 Platform Ownership: YAll content, design, and functionality on the AeronPay platform, including trademarks, logos, and software, are the exclusive property of AeronPay or its licensors.

10.2 License: Users are granted a limited, non-transferable license to use AeronPay’s platform solely for personal or business purposes, subject to these Terms and Conditions.

10.3 Restrictions: Users may not copy, modify, distribute, or reverse-engineer any part of the platform without written consent from AeronPay.

11. Limitation of Liability

11.2 No Liability for Losses: AeronPay is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

12.1 Indemnity Clause: Users agree to indemnify and hold AeronPay harmless from any claims, damages, liabilities, and costs arising from their breach of these Terms and Conditions or violation of applicable laws.

13. Dispute Resolution

13.1 Governing Law: These Terms and Conditions are governed by the laws of India.

13.2 Jurisdiction: Any disputes will be subject to the exclusive jurisdiction of the courts in Rajasthan, India.

13.3 Arbitration: In the event of a dispute, both parties agree to resolve the matter through arbitration before pursuing litigation.

14. Termination of Services

14.1 Termination by AeronPay: AeronPay reserves the right to terminate your access to the platform for any violation of these Terms and Conditions.

14.2 Termination by User: You may terminate your account at any time by contacting customer support.

14.3 Effect of Termination: Upon termination, you will lose access to all services, and any data related to your account may be deleted as per legal and regulatory requirements.

15. Compliance with Laws

15.1 Legal Compliance: Users must comply with all applicable local, state, and national laws, including the Information Technology Act, 2000, Payment and Settlement Systems Act, 2007, RBI guidelines, and the Prevention of Money Laundering Act, 2002.

15.2 Prohibited Activities: Any illegal or fraudulent activities detected by AeronPay will result in the immediate suspension or termination of services, along with potential legal action.

16. Force Majeure

AeronPay is not liable for any failure to perform its obligations under this Agreement due to circumstances beyond its control, including but not limited to natural disasters, war, strikes, and governmental actions.

17. Severability

If any provision of these Terms and Conditions is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

18. Waiver

Failure by AeronPay to enforce any provision of these Terms and Conditions will not constitute a waiver of that provision.

19. Entire Agreement

This Agreement constitutes the entire understanding between you and AeronPay regarding the use of our platform and services and supersedes any prior agreements.

20. Amendments to Terms

AeronPay reserves the right to amend or modify these Terms and Conditions at any time. Users will be notified of changes via email or platform notifications. Continued use of the services after such changes signifies acceptance of the revised terms.

21. Grievance Redressal

21.1 Grievance Officer: AeronPay has appointed a Grievance Officer to address any concerns regarding services or data privacy.

22. Promotions and Offers

22.1 Eligibility: All promotions and offers provided by AeronPay are subject to specific eligibility criteria and terms disclosed at the time of the offer.

22.2 Misuse of Offers: Any misuse of promotional offers, including the creation of multiple accounts, will result in disqualification and potential suspension of services.

23. Customer Support

23.1 Support Services: AeronPay offers customer support through email, chat, and phone for resolving queries related to our services.

23.2 Support Availability: Support is available during standard business hours. AeronPay will strive to resolve all queries promptly but cannot guarantee immediate resolution in all cases.

24.1 External Links: The AeronPay platform may contain links to third-party websites or services. These links are provided for your convenience, and AeronPay is not responsible for the content or terms of such third-party sites.
